CALB Seeks NAFMII Nod for Unified Registration to Issue up to RMB10.00 Billion in Debt Instruments

Bulletin Express10-16

CALB Group Co., Ltd. has approved a plan to apply to the National Association of Financial Market Institutional Investors (NAFMII) for a quota-based unified registration to issue primary debt financing instruments of up to RMB10.00 billion. The proposal will be submitted to shareholders for approval at an upcoming general meeting.\n\nUnder the unified registration and issuance framework (PDFI), CALB intends to tap multiple formats—including super short-term commercial paper, short-term commercial paper, medium-term notes and perpetual notes—within a two-year registration validity period. Individual tranches will be launched in line with funding requirements and prevailing market conditions, with pricing set at market rates at the time of each issuance. All securities are expected to be listed and traded in China’s inter-bank bond market.\n\nProceeds may be deployed for working capital needs, debt repayment and other purposes permitted under PRC regulations. The board believes the program will diversify funding channels and enhance the company’s debt structure.\n\nShareholders will also be asked to grant the board—and, by delegation, management—broad authority to determine issuance terms, select intermediaries, conduct regulatory filings and manage ongoing disclosure and redemption obligations for each tranche.\n\nThe transaction remains subject to shareholder approval and successful registration with NAFMII; there is no assurance the issuance will proceed.
