Mirxes Announces Board Reshuffle, Listing Rule Breach and Further Delays to FY 2025 & 1H 2026 Results; Trading Halt Remains

Mirxes Holding Company Limited (Mirxes, stock code 02629) has released a multi-faceted announcement detailing senior board changes, regulatory non-compliance, and extended delays to its financial reporting, all of which will prolong the suspension of trading in its shares on the Hong Kong Stock Exchange (HKEX).

Board Changes • Independent Non-Executive Director (INED) Dr. Lam Sin Lai Judy resigned for health reasons with effect from 31 August 2026. Dr. Lam also vacated her roles as Chair of the Audit Committee, member of the Remuneration and Nomination Committees, and Chair of the Independent Investigation Committee (IIC). • Joseph Chow Shiu Wing, aged 54, was appointed the same day as INED, Chairman of the Nomination Committee, member of the Remuneration Committee and Co-Chairman of the IIC. Chow, a Hong Kong-qualified solicitor and partner at Wellington Legal, will serve a three-year term at an annual director’s fee of HK$0.35 million plus an additional allowance for IIC duties. • Further committee re-designations include: – Kwok Wai Tsang to Chair the Audit Committee. – Fang Xiao and Joseph Chow to act as Co-Chairmen of the IIC.

Listing Rule Non-Compliance Dr. Lam’s departure leaves the nine-member board without female representation, breaching: 1. Listing Rule 13.92(2) (requirement for gender diversity on the board) 2. Corporate Governance Code B.3.5 (gender diversity within the Nomination Committee) The company targets appointing a female director within three months to restore compliance.

Delayed Financial Reporting • FY 2025 Annual Results & Report: Publication remains postponed. Completion of the FY 2025 audit hinges on resolving outstanding matters identified by auditors and finalizing the IIC investigation. • 1H 2026 Interim Results & Report: Preparation is stalled because FY 2025 closing balances are not finalized. Mirxes will miss the statutory deadlines of 31 August 2026 (results announcement) and 30 September 2026 (interim report). Updated timelines will be provided when available.

Trading Suspension Trading in Mirxes shares has been suspended since 1 April 2026 and will stay halted until the company satisfies HKEX resumption guidance, which includes clearing the audit issues and releasing the delayed financial statements.
