COSCO SHIP INTL mourns INED Gordon Kwong; board now non-compliant with HKEX Rules

COSCO SHIPPING International (Hong Kong) Co., Ltd. (COSCO SHIP INTL) announced that independent non-executive director (INED) Mr. Gordon Kwong Che Keung passed away on 6 July 2026. Mr. Kwong had also served as chairman of the audit committee and member of the remuneration, nomination and corporate governance committees.

His passing reduces the number of INEDs and audit-committee members below the thresholds stipulated in Hong Kong Listing Rules 3.10 and 3.21, and leaves the nomination committee short of the composition required under Rule 3.27A.

The company is working to appoint a new INED who will also join the audit and nomination committees to restore compliance with Rules 3.11, 3.23 and 3.27C. Further announcements will be made once appointments are confirmed.

Following these changes, the Board now comprises six directors: Executive Directors Mr. Zhu Changyu (Chairman and Managing Director) and Mr. Wang Yong; Non-executive Directors Mr. Ma Xianghui and Ms. Zhang Xueyan; and INEDs Mr. Tsui Yiu Wa, Alec and Mr. Jiang, Simon X.
