KEEP trims outstanding shares by 1.48 million in July buy-back; authorised capital and public float unchanged

KEEP Inc. (Cayman Islands), listed on the HKEX Main Board, filed its Monthly Return for the period ended 31 July 2026. Key changes are summarised below.

1. Issued Share Capital • Outstanding ordinary shares (excluding treasury) fell by 1.48 million to 498.25 million following on-market repurchases completed on 4 June 2026. • Treasury shares rose correspondingly to 12.03 million, keeping total issued shares constant at 510.28 million. • Three earlier buy-back tranches—1.20 million (6–21 Jan 2026), 0.72 million (26–31 Mar 2026) and 1.60 million (1–15 Apr 2026)—remain pending cancellation, totalling 3.52 million shares.

2. Authorised Capital • Authorised share capital stayed at 1.00 billion ordinary shares with a par value of USD 0.00005, representing USD 50,000 in aggregate. No changes were recorded during the month.

3. Public Float • After the reduction, KEEP confirmed compliance with the Main Board’s 25 % minimum public-float requirement.

4. Employee Equity Incentives Share options • 2016 Plan: 9.08 million options outstanding, unchanged. • 2021 Plan: outstanding options dropped by 15,000 to 2.01 million; no shares were issued.

Restricted share units (RSUs) • No RSUs vested or were exercised during the month; 144,435 RSUs lapsed. • Shares that may be issued under the Post-IPO Share Incentive Plan remained at 30.35 million.

5. Cash Proceeds • No shares were issued from option exercises during July; therefore, no cash was raised.

The latest transactions leave KEEP’s total issued share count intact while marginally lowering the free-float share pool. Management continues to utilise both treasury-share purchases and equity-based compensation plans without diluting existing shareholders.
