Grand Pharma Sets 5 June 2026 AGM; Proposes HK$0.169 Final Dividend and New Share Mandates

Grand Pharmaceutical Group Limited (Grand Pharma) has called its Annual General Meeting (AGM) for 11:00 a.m. on 5 June 2026 at Unit 3302, The Center, 99 Queen’s Road Central, Hong Kong.

The board will seek shareholder approval for the audited financial statements for the year ended 31 December 2025 and a final dividend of HK$0.169 per share. Subject to approval, the dividend will be paid on or about 30 June 2026 to shareholders on record as of 16 June 2026.

Key board matters include the proposed re-election of Mr. Zhou Chao as an executive director and of Mr. Hu Yebi and Dr. Pei Geng as independent non-executive directors, with the board authorised to set directors’ remuneration.

HLB Hodgson Impey Cheng Limited is nominated for re-appointment as auditor until the next AGM; remuneration will be determined by the board.

Three ordinary resolutions seek fresh mandates: • Authorisation for the board to issue new shares up to 20% of current issued share capital during the mandate period. • Authority to repurchase shares up to 10% of issued share capital. • Extension of the issue mandate by the number of shares repurchased.

A special resolution proposes adopting new bye-laws that consolidate all previous amendments, as outlined in the circular dated 30 April 2026.

The share register will close from 2–5 June 2026 (inclusive) for AGM attendance eligibility. For dividend entitlement, transfers must be lodged by 4:30 p.m. on 15 June 2026; the register will be closed on 16 June 2026.

Grand Pharma’s board currently comprises four executive directors—Dr. Tang Weikun (Chairman), Mr. Zhou Chao, Mr. Yang Guang and Ms. Lam Chit Yee, Jessica—and four independent non-executive directors—Ms. So Tosi Wan, Winnie, Dr. Xing Li Na, Dr. Pei Geng and Mr. Hu Yebi.
