Noble Engineering Schedules 30 Sep 2026 AGM; Seeks 20% Issuance Mandate, 10% Buy-Back Capacity and Articles Amendment

Noble Engineering Group Holdings Limited will convene its annual general meeting on 30 September 2026 at 10:00 a.m. in Central, Hong Kong. Key agenda items are as follows:

1. Financial Statements and Auditor • Shareholders will be asked to adopt the audited consolidated financial statements for the year ended 31 March 2026. • Beijing Xinghua Caplegend CPA Limited is nominated for re-appointment as external auditor, with the board authorised to fix its remuneration.

2. Board Composition • Ms. Dang Hongying (Non-executive Director) and Ms. Chung Lai Ling (Independent Non-executive Director) are standing for re-election, with remuneration to be set by the board.

3. General Share Mandates • Issuance Mandate: Directors seek authority to allot and issue new shares or convertible securities up to 20% of the company’s issued share capital as at the date of the AGM, exclusive of rights issues, scrip dividends, option exercises and similar exemptions. • Repurchase Mandate: Management requests approval to repurchase shares on the market up to 10% of issued share capital. • Extension Mandate: Subject to the above approvals, the issuance limit may be increased by the number of shares repurchased, effectively providing an additional 10% headroom.

4. Articles of Association • A special resolution proposes the adoption of a fully amended and restated Articles of Association incorporating the detailed amendments outlined in the company’s circular dated 24 July 2026.

5. Administrative Details • Register closure: 25 September 2026 to 30 September 2026 (both days inclusive). Share transfer documents must be lodged by 4:30 p.m. on 24 September 2026 to qualify for attendance and voting. • Shareholders may appoint one or more proxies; proxy forms must be deposited at Tricor Investor Services Limited no later than 48 hours before the meeting.
