JAKOTA CAPITAL (Holding) Group reported that every item on the agenda of its 28 August 2026 Annual General Meeting (AGM) was approved by solid majorities, with each ordinary resolution garnering at least 92.94% of votes cast.
Key AGM outcomes 1. Financial statements: The audited consolidated results for the year ended 31 March 2026, along with the directors’ and auditors’ reports, were adopted with 93.97% of votes in favour.
2. Board composition and remuneration: • Independent Non-executive Directors (INEDs) Ms Mak Yun Chu and Mr Hung Wai Che were re-elected, drawing 93.87% and 94.08% support, respectively. • Shareholders authorised the Board to fix directors’ remuneration with 94.22% approval.
3. Auditor re-appointment: McMillan Woods (Hong Kong) CPA Limited was re-appointed as external auditor. The remuneration mandate obtained 94.49% support.
4. Capital authorities: • A general mandate allowing directors to issue new shares received 93.01% approval. • A share repurchase mandate was passed with 94.08% support. • An extension of the general mandate to include shares repurchased under the buy-back authority secured 92.94% approval.
Voting mechanics and participation • All resolutions were decided by poll, overseen by Tricor Investor Services Limited as scrutineer. • Shareholders representing 80.67 million shares voted, equivalent to 19.36% of the company’s 416.83 million issued shares. • No shareholders were required to abstain, and no special voting restrictions applied. • All members of the Board participated in the meeting, either in person or electronically.
