COMEC Publishes 2025 AGM Agenda Highlighting Profit Distribution, Interim Dividend and Director Elections

CSSC Offshore & Marine Engineering (Group) Company Limited (COMEC) has released the proxy form and full agenda for its 2025 Annual General Meeting, scheduled for 10:00 a.m. on 27 May 2026 at the company’s Conference Room, 5/F, Sci-Tech Building, Nansha District, Guangzhou.

Key ordinary resolutions to be tabled:

1. 2025 Board Work Report – a review of operating performance and management actions for the year.

2. 2025 Annual Report – including audited financial statements.

3. 2025 Profit Distribution Proposal – details to be disclosed at the meeting.

4. Interim Dividend Arrangements for 2026 – to establish a distribution framework ahead of half-year results.

5. Framework and Quota for Subsidiary Guarantees in 2026 – setting annual limits for intra-group guarantees.

6. Authorisation to Conduct Foreign-Exchange Derivative Transactions in 2026 – enabling hedging of currency exposure.

7. Appointment of External Auditor for 2026 – covering both financial statements and internal control audits.

8. Remuneration Management Measures for Directors and Senior Management – formalising pay-governance policies.

9. 2026 Remuneration Plan for Directors – specifying compensation for the coming year.

Director elections will adopt a cumulative voting system. Shareholders will vote on:

• Mr. Weng Hongbing – Executive Director candidate. • Mr. Cheng Bolin – Non-Executive Director candidate.

H-shareholders wishing to vote by proxy must lodge completed forms with Computershare Hong Kong Investor Services Limited no later than 24 hours before the meeting.
