Quantgroup shareholders give 100% backing to 2026 AGM resolutions, renew board and grant 20% share issuance mandate

Quantgroup Holding Limited (Quantgroup) reported unanimous shareholder support for every motion tabled at its Annual General Meeting held on 26 June 2026. All votes—totalling 273.52 million shares, or 53.10% of the company’s 515.10 million issued shares—were cast in favour of each resolution, with zero votes recorded against.

Key approved items:

• Financial statements: The audited consolidated results for the year ended 31 December 2025, together with the directors’ and auditor’s reports, were adopted.

• Board composition: All nine directors standing for re-election—five executive directors (Dr. Zhou Hao, Mr. Li Yan, Mr. Song Yang, Mr. Zhang Yanshen, Mr. Tan Feng), one non-executive director (Mr. Zhang Yi) and three independent non-executive directors (Mr. Sun Junchen, Mr. Cao Jie, Ms. Guo Yongfang)—secured full shareholder endorsement. The Board was also authorised to determine directors’ remuneration.

• Auditor: KPMG was re-appointed as external auditor for the year ending 31 December 2026, with fees to be set by the Board.

• Capital mandates: – Issuance mandate authorises the Board to allot and issue new shares—or dispose of treasury shares—up to 20% of the company’s existing issued share capital, excluding any treasury shares. – Repurchase mandate permits buybacks of up to 10% of issued shares, also excluding treasury stock. – Extension mandate allows the issuance limit to be increased by the number of shares repurchased under the buyback mandate.

No shareholders were required to abstain, and there were no votes against any resolution. Computershare Hong Kong Investor Services acted as scrutineer, and the full Board attended the meeting in person or electronically.
