ContiOcean Environment Tech Group Co., Ltd. (ContiOcean) reported that all resolutions at its second extraordinary general meeting (EGM) held on 17 July 2026 in Shanghai were passed with full shareholder support.
Shareholder Participation and Voting • A total of 30.00 million H shares—representing 75.00% of ContiOcean’s 40.00 million issued H shares—were voted in person or by proxy. • Both ordinary resolutions secured 100.00% of the votes cast (30.00 million “for,” zero “against,” zero abstentions). • Ocean Yields Enterprises Limited, which holds 0.91 million unvested H shares under the company’s restricted share scheme, abstained from voting as required by HKEX Listing Rule 17.05A. • Tricor Investor Services Limited acted as independent scrutineer; meeting procedures complied with PRC Company Law and the company’s Articles of Association.
Key Resolutions Passed 1. Proceeds Re-allocation: Shareholders endorsed the proposed change in use of previously raised funds and authorised Chairman Zhou Yang to execute related documentation. 2. Board Refresh: Ms. Kung Man was appointed independent non-executive director (INED) for the remainder of the Board’s second session. Her remuneration will be set by the Board, and a formal appointment letter will be executed.
Board and Committee Changes • Upon approval of Resolution 2, former INED Ms. Ng Sin Kiu resigned. • Ms. Kung joins both the Audit Committee and Nomination Committee, replacing Ms. Ng. • Post-EGM committee composition: – Audit Committee: Chair Mr. Zhu Rongyuan; members Dr. Guan Yanmin and Ms. Kung Man. – Nomination Committee: Chair Mr. Zhu Rongyuan; members Mr. Zhou Yang and Ms. Kung Man. • Other Board committees remain unchanged.
ContiOcean’s Board now comprises four executive directors—Mr. Zhou Yang, Mr. Zhao Mingzhu, Mr. Chen Zhiyuan and Mr. Chen Rui—and three independent non-executive directors—Dr. Guan Yanmin, Mr. Zhu Rongyuan and Ms. Kung Man.
