TSUI WAH HLDG sets 12 Aug 2026 AGM to seek fresh issue & buy-back mandates, director re-elections, auditor renewal and M&A overhaul

Tsui Wah Holdings Limited (TSUI WAH HLDG) will convene its Annual General Meeting on 12 Aug 2026 at 3:00 p.m. in Hong Kong. Key proposals include:

1. **Renewal of General Mandates** • Directors seek authority to issue up to 20% of existing share capital (maximum 282.25 million shares based on 1.41 billion shares in issue). • A repurchase mandate for up to 10% of issued shares (up to 141.12 million shares) is proposed. • An Extension Mandate would allow the issued-share mandate to be enlarged by the number of shares actually repurchased.

2. **Board Composition** • Re-election of three retiring directors: Executive Chairman Mr Lee Yuen Hong; Non-executive Directors Mr Cheng Chung Fan and Mr Wong Chi Kin. • Post-re-election, the board would remain at eight members (three executive, two non-executive, three independent non-executive).

3. **Auditor Re-appointment** • KPMG is nominated to continue as independent auditor for FY2027, with an estimated audit fee of HK$2.00 million, excluding subsidiary audit fees.

4. **Corporate Governance Update** • Shareholders will vote on replacing the existing memorandum and articles of association with an updated version to align with revised Listing Rules, permit holding treasury shares, support uncertificated securities, and facilitate hybrid/electronic meetings.

5. **Logistics** • Shareholders recorded by 12 Aug 2026 can attend and vote. The share register closes 7–12 Aug 2026. Proxy forms must reach Computershare Hong Kong by 10 Aug 2026, 3:00 p.m.

All resolutions will be decided by poll in accordance with the Listing Rules.
