The revisions aim to align with recent changes to the Listing Rules and the applicable laws of the Cayman Islands, subject to approval by shareholders at the forthcoming annual general meeting.
The proposed amendments include measures facilitating electronic communication, enabling electronic or hybrid general meetings, and allowing electronic payment methods for corporate actions. They also introduce provisions for handling treasury shares, giving the Board the flexibility to manage repurchased or acquired shares in accordance with relevant regulations.
Additional housekeeping updates are intended to maintain consistency with Cayman Islands law, refine terminology, and enhance clarity. If approved by a special resolution at the annual general meeting, the new Articles of Association will take effect immediately following its conclusion.
