China Metal Resources Utilization Limited (CMRU) announced that shareholders overwhelmingly endorsed the appointment of Yau Pak Yue as an independent non-executive director at the extraordinary general meeting (EGM) held on 26 June 2026 in Hong Kong.
All 166.17 million votes cast—representing 100.00% of the poll—supported the single ordinary resolution. No votes were recorded against the proposal, and there were no abstentions or special voting restrictions. The company’s total issued share capital stood at 448.16 million shares, all of which were eligible to vote.
With shareholder approval secured, Yau’s appointment, effective the same day, also places him on the Board’s audit and corporate governance, remuneration, and nomination committees. The Board has confirmed Yau’s independence based on his written declaration under Listing Rule 3.13.
Computershare Hong Kong Investor Services Limited acted as scrutineer for the poll. Among current directors, Kwong Wai Sun Wilson attended the EGM in person, while other directors, including Chairman Yu Jianqiu and newly appointed Yau Pak Yue, were absent due to prior business commitments.
Following the appointment, CMRU’s Board comprises four executive directors—Yu Jianqiu (Chairman), Kwong Wai Sun Wilson, Gao Qiang and Zhu Yufen—and four independent non-executive directors—Li Wei, Fang Guanghua, Yu Rengzhong and Yau Pak Yue.
