Xiaomi Corporation disclosed two capital-market moves on 11 June 2026: a fresh tranche of share issuance under its employee incentive scheme and an additional share repurchase on the Hong Kong Stock Exchange (HKEX).
Employee share award issuance • On 11 June 2026, Xiaomi issued 263,200 Class B WVR ordinary shares at HK$2.70 each to satisfy awards and options granted to non-director participants under its share scheme. • The transaction increased the Class B share count by 0.001 %, taking total Class B shares in issue to 21.39 billion and lifting the company’s overall issued share capital (Classes A and B combined) to roughly 25.84 billion shares.
Accelerated share repurchases • On the same day, Xiaomi bought back 7.80 million Class B shares on HKEX at prices ranging between HK$25.76 and HK$26.00, for an aggregate consideration of HK$201.89 million. • This purchase forms part of an ongoing programme that has run since 27 April 2026. Including the latest transaction, 79.91 million Class B shares—equal to about 0.37 % of the 21.39 billion Class B shares outstanding on 10 June—have been repurchased but not yet cancelled. • Based on disclosed prices, the cumulative cash outlay for the 19 buy-back sessions between 27 April and 11 June totals approximately HK$2.30 billion, implying a volume-weighted average repurchase price of about HK$28.80 per share. Transaction prices over the period ranged from HK$26.32 to HK$31.52.
Repurchase mandate utilisation • Xiaomi’s current shareholder mandate, approved on 2 June 2026, authorises repurchases of up to 2.58 billion shares. Since the mandate took effect, the company has acquired 22.10 million shares, equivalent to 0.09 % of the issued share base on the mandate date. • Under Hong Kong listing rules, Xiaomi is subject to a moratorium on issuing new shares (other than the disclosed share-scheme allotment) or transferring treasury shares until 11 July 2026.
Capital structure snapshot (post-transactions, 11 June 2026) • Class A ordinary shares: 4.45 billion • Class B WVR ordinary shares: 21.39 billion • Total issued shares (excluding treasury): 25.84 billion
