CMRU Receives HKEX Resumption Guidance; Faces 18-Month Deadline to Restore Compliance

China Metal Resources Utilization Limited (CMRU) disclosed that it received formal Resumption Guidance from The Stock Exchange of Hong Kong Limited (HKEX) on 2 July 2026. The exchange outlined three core requirements that must be met before trading in CMRU shares can resume:

1. Publish all outstanding financial results and address any audit modifications. 2. Demonstrate compliance with Listing Rule 13.24, which mandates sufficient operations and asset levels to warrant continued listing. 3. Disclose all material information necessary for investors to appraise the company’s position.

HKEX reminded the company that, under Listing Rule 6.01A(1), securities suspended for 18 consecutive months are subject to delisting. For CMRU, this period expires on 30 September 2027. Failure to satisfy the Resumption Guidance and fully comply with listing requirements by that date will prompt the Listing Division to recommend cancellation of the company’s listing. HKEX also reserved the right to impose a shorter remedial period if deemed appropriate.

Trading in CMRU shares has been suspended since 1 April 2026 and will remain halted until all guidance items are fulfilled. The board stated it is “taking appropriate steps” to resolve the issues and will provide quarterly updates on operational progress, resumption efforts, and any material changes pursuant to Listing Rule 13.24A.

Chairman Yu Jianqiu signed the announcement on 3 July 2026. The board currently comprises four executive directors and four independent non-executive directors.
