Lufax Holding Ltd (LUFAX) reported no change in its authorised share capital for October 2026, keeping the limit at 10.00 billion ordinary shares with a par value of USD 0.00001, equivalent to authorised capital of USD 100,000.
The company’s issued share count in Hong Kong rose marginally by 14 shares to 1,733,377,798, while treasury stock remained nil. Management confirmed compliance with the Main Board’s 25% public-float requirement. The 14-share increase stemmed from fractional American Depositary Shares (ADSs) eliminated during the company’s ADS ratio change from 1 ADS:2 ordinary shares to 1 ADS:20 ordinary shares, as noted in an overseas filing on 6 October 2026.
Equity incentive activity was subdued. The expired 2014 Share Incentive Plan still carries 3.30 million outstanding options, but no new shares were issued and no cash proceeds were recorded from option exercises during the month. Under the 2019 Performance Share Unit Plan, 183,833 shares remain reserved for future issuance, with an additional 13.00 million shares available for grant.
On the convertible front, USD 507.99 million in Ping An Overseas Holdings Convertible Promissory Notes stayed outstanding following an amendment that extended maturity to 8 October 2027 and set a conversion price of USD 2.32 per share, representing potential dilution of up to 218.96 million shares. Meanwhile, all USD 468.91 million of An Ke Technology Convertible Promissory Notes were fully redeemed and cancelled during the period, eliminating any further conversion exposure from that instrument.
The company reiterated that 56.30 million ordinary shares, related to previously repurchased ADSs and share-based compensation reserves, are excluded from the issued-share calculation under an existing Hong Kong Stock Exchange waiver.
Overall, October’s filing underscores Lufax’s stable capital structure, minimal new share issuance, and a streamlined convertible profile ahead of the extended maturity of its remaining promissory notes in 2027.
