Kinetic Development Updates Nomination Committee Charter to Enhance Board Diversity, Oversight and Performance Review

Kinetic Development Group Limited amended the terms of reference for its Nomination Committee on 15 July 2026, introducing expanded responsibilities and stricter governance standards.

The revised charter clarifies that the Nomination Committee will: • Identify and recommend director candidates while maintaining a publicly disclosed board-skills matrix. • Conduct biennial board performance reviews and ensure results are included in the Corporate Governance Report. • Monitor compliance with independence, tenure and “overboarding” limits, capping independent non-executive directors’ outside directorships at six Hong Kong-listed companies. • Oversee directors’ mandatory training and facilitate shareholder engagement on board composition and governance issues.

Membership requirements now stipulate a minimum of three directors, with a majority being independent non-executive directors and at least one director of a different gender. The committee must meet at least once a year; a quorum requires two members, including one independent non-executive director.

The Nomination Committee is authorised to secure external professional advice at the Company’s expense and is required to report regularly to the Board.

These amendments aim to align Kinetic Development’s board oversight with evolving Hong Kong listing rules, strengthen diversity commitments and enhance transparency in board evaluation and succession planning.
