Zhejiang Shibao Schedules 15 September 2026 H-Share Class Meeting to Vote on Non-Public A-Share Issuance Plan

Zhejiang Shibao Company Limited has issued a proxy form to its H-shareholders for the first 2026 Class Meeting, set for 15 September 2026 at 3:00 p.m. in Hangzhou. The session will convene immediately after the corresponding A-share class meeting on the same day and location.

The agenda centres on a proposed non-public issuance of A shares to specific investors. Shareholders are asked to consider and approve:

• A detailed issuance plan covering: – Share class and RMB1.00 nominal value per share – Issuance method and timing – Target subscribers and subscription method – Pricing date, issue price and pricing principles – Total issue size – Intended amount and use of proceeds – Lock-up arrangements – Listing venue for the new shares – Treatment of accumulated undistributed profits prior to completion – Validity period of the related shareholder resolutions

• A comprehensive proposal endorsing the 2026 targeted A-share issuance.

• Authorisation for the Board and its designated representatives to handle all matters linked to the non-public issuance at their discretion.

H-shareholders may appoint the meeting chairman or another proxy to vote. Completed proxy forms must reach Computershare Hong Kong Investor Services Limited no later than 24 hours before the meeting. Attendance requires the proxy form and valid identification.
