Tongdao Liepin Group (6100) Subscribes to Principal-Guaranteed Products from CGMHI and Morgan Stanley

On 30 October 2025, Tongdao Liepin Group (6100), through its wholly owned subsidiary TD Elite (HK) Information Technology Co., Limited, entered into subscriptions for principal-guaranteed and fixed-income wealth management products. These subscriptions follow the scheduled 31 October 2025 redemption of previously subscribed products.

Tongdao Liepin Group subscribed for a 5-Year CGMHI Callable Zero Rate Note (Note 1) in the amount of US$20 million, issued by Citigroup Global Markets Holdings Inc. (CGMHI) through Citigroup Global Markets Limited (CGML). In parallel, it subscribed for a Callable Zero Coupon Note (Note 2) totaling US$19 million, issued by Morgan Stanley Finance LLC through Morgan Stanley & Co. International PLC. Both products carry principal-protection at maturity, with annualized interest rates of 4.60% for Note 1 and 4.62% for Note 2 and have five-year terms.

According to the announcement, the highest applicable percentage ratio for each new subscription exceeds 5% but is less than 25%, rendering them discloseable transactions under Chapter 14 of the Listing Rules. They are subject to notification and announcement requirements but are exempt from shareholders’ approval. Tongdao Liepin Group highlighted that allocating its temporary idle funds to these products is intended to enhance capital gain while maintaining low risk and sufficient liquidity.
