KEEP completes HK$0.14 million on-market buyback; cumulative repurchases reach 3.53 million shares

Keep Inc. (“KEEP”) disclosed that it repurchased 71,100 ordinary shares on 14 July 2026 through the Hong Kong Stock Exchange at prices ranging from HK$1.88 to HK$1.92 per share, for a total consideration of HK$0.14 million (average HK$1.90).

Following the transaction, the company’s issued share capital (excluding treasury shares) fell by 0.014% to 498.89 million shares, while treasury shares rose to 11.39 million. The aggregate number of issued shares remains unchanged at 510.28 million.

The buyback forms part of a mandate approved on 4 June 2026 that authorises KEEP to repurchase up to 50.24 million shares. To date, 3.53 million shares—equivalent to 0.70% of the share count on the mandate date—have been repurchased on-market under this authority.

Separately, 3.32 million shares repurchased between 6 January and 15 April 2026 are being held for cancellation.

Under Main Board Rule 10.06, KEEP is restricted from issuing new shares or disposing of treasury shares for 30 days after the latest buyback, setting the moratorium period through 13 August 2026.
