RoboSense Announces 18 June 2026 AGM; Board Seeks Approval for Director Re-elections, PwC Re-appointment and Updated Share Mandates

RoboSense Technology Co., Ltd will hold its 2026 Annual General Meeting (AGM) on 18 June 2026 at 10:30 a.m. at 23/F, Lee Garden One, Causeway Bay, Hong Kong.

Key resolutions scheduled for shareholder voting are:

• Financial Statements: Adoption of the audited consolidated financial statements and directors’ and auditor’s reports for the year ended 31 December 2025.

• Board Composition: Re-election of three independent non-executive directors—Mr. Liu Ming, Mr. Ng Yuk Keung and Ms. Yang Rixin—and authorization for the board to fix directors’ remuneration.

• Auditor: Re-appointment of PricewaterhouseCoopers as external auditor, with the board authorized to determine audit fees.

• Capital Management: – Share Repurchase Mandate: Authorization for the board to repurchase up to 10 % of issued shares (excluding treasury shares). – Issuance Mandate: Authorization to issue, allot or deal with additional shares and convertible securities up to 20 % of issued shares (excluding treasury shares), including the sale or transfer of treasury shares. – Mandate Extension: Increase of the issuance limit by the number of shares repurchased under the 10 % mandate.

All resolutions will be decided by poll pursuant to the Listing Rules and the company’s articles of association. Proxy forms must be lodged with Tricor Investor Services Limited by 10:30 a.m. on 16 June 2026 for valid representation. Shareholders attending and voting in person at the AGM will supersede any previously submitted proxies.
