Kingsoft Cloud Announces Secretary Resignation, Dual Appointments and Three-Year Listing Rules Waiver

Kingsoft Cloud Holdings Limited disclosed a series of senior corporate governance changes effective 14 April 2026.

Ms. So Ka Man of Tricor Services Limited has resigned as company secretary, authorised representative under Listing Rule 3.05 and Hong Kong process agent. The Board stated that Ms. So has no disagreement with directors and no matters requiring shareholder attention.

To ensure continuity, the Board appointed two joint company secretaries: • Mr. Tian Bo, currently Board Secretary and Assistant Vice President, becomes Joint Company Secretary. Tian joined Kingsoft Cloud in 2021 after previous roles at Citigroup, Deutsche Bank Group and China International Capital Corporation. He holds a bachelor’s degree in Economics from Fudan University and a master’s in Financial Mathematics from the University of Chicago. • Ms. Chan Hiu Lam of Tricor Services Limited becomes the other Joint Company Secretary, authorised representative and process agent. With more than 10 years’ corporate secretarial experience, Chan is an associate of The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK) and holds a master’s in corporate governance from Hong Kong Polytechnic University.

Because Mr. Tian does not yet meet the professional qualification requirements of Listing Rules 3.28 and 8.17, Kingsoft Cloud obtained a three-year waiver from the Hong Kong Stock Exchange. The waiver remains valid provided Ms. Chan assists Mr. Tian throughout the period and may be revoked upon any material Listing Rule breaches or change in circumstances. Before the waiver expires, the Company must demonstrate that Mr. Tian has acquired sufficient experience to fulfil the role independently.

The Board thanked Ms. So for her service and welcomed Mr. Tian and Ms. Chan to their new positions.
