OmniVision Unveils RMB250-500 Million A-Share Buyback to Support Equity Incentives

Bulletin Express10-16 22:41

OmniVision Integrated Circuits Group, Inc. has approved a three-month A-share repurchase plan with a funding range of RMB250.00 million to RMB500.00 million. The programme, cleared by the Board on 16 October 2026, will be executed via centralized price bidding on the Shanghai Stock Exchange.

The buyback price ceiling is RMB120.00 per share, equivalent to 150% of the 30-day average trading price prior to Board approval. Based on this cap, the company expects to redeem between 2.08 million and 4.17 million shares, representing 0.17%-0.33% of the current share capital of 1,258.39 million shares.

All repurchased shares are earmarked for employee stock ownership plans or other equity-incentive schemes. Should any portion remain unallocated three years after completion, the shares will be cancelled and the registered capital reduced in accordance with Chinese corporate law.

Funding will be provided from OmniVision’s internal resources and/or self-raised funds. As at 30 June 2026, the company reported total assets of RMB50.14 billion, cash and cash equivalents of RMB14.94 billion, and net assets attributable to shareholders of RMB32.71 billion. The buyback’s upper limit represents approximately 1.00% of total assets and 1.53% of shareholders’ equity, leading management to conclude that the programme will not materially affect operations, R&D investment, solvency, or listing status.

OmniVision currently holds 8.75 million A shares (0.70% of share capital) in its repurchase account; following the new programme, this figure could rise to as much as 12.92 million shares (1.03%).

Directors, senior management, controlling shareholders, de facto controllers, and shareholders owning 5% or more of the company have confirmed they executed no share trades in the six months preceding the Board resolution and have no plans to reduce their stakes in the next three or six months.

Key implementation risks include potential sustained share-price trading above the RMB120.00 ceiling, material changes in business or market conditions, or failure to obtain subsequent approvals for incentive schemes. OmniVision will disclose progress in line with regulatory requirements and may amend or terminate the plan if warranted by market or regulatory developments.
