CALB (HKEX: 03931) has announced that it successfully secured the winning bid for a 12.7230% equity stake in its subsidiary, CALB Technology (Hefei) Co., Ltd., during a public auction held at the Hefei Property Rights Trading Centre on July 28, 2026.
The bidding was for shares offered by the seller, Hefei Beicheng Industrial Investment Fund Guiding Co., Ltd. Following the auction, CALB will enter into a property rights transfer contract with the seller, paying a cash consideration of RMB 690 million to acquire the target assets.
As of the announcement date, CALB held 29.3852% of the subsidiary's equity, while the seller controlled 70.6148%. Since CALB has the right to exercise more than 50% of the voting rights in the Hefei company, the subsidiary is currently classified as a non-wholly-owned subsidiary of the group.
Upon completion of the acquisition, CALB's stake in the subsidiary will increase from 29.3852% to 42.1082%, and the Hefei company will continue to remain a non-wholly-owned subsidiary of CALB.
The Hefei company has, since its establishment, efficiently and rapidly completed production line construction and initiated operations. Post-production, its revenue has grown steadily, profitability has gradually improved, and its debt-to-asset ratio remains manageable. Driven by a positive outlook for the Hefei company's development, CALB participated in this public tender. The completion of this acquisition will further enhance CALB's shareholding in the Hefei company.
