Anhui Jinyan Kaolin New Materials Co., Ltd. (stock code 2693, “JINYAN KAOLIN”) has set the final offer price at HK$7.30 per H Share for its global offering. A total of 24,300,000 H Shares have been offered under the Global Offering, comprising 2,430,000 H Shares for the Hong Kong Public Offering and 21,870,000 H Shares for the International Offering. There is an over-allotment option of up to 1,491,500 additional H Shares. Dealings in the H Shares on the Hong Kong Stock Exchange are scheduled to commence on December 3, 2025, with shares to be traded in board lots of 500 each.
According to the allotment results, the Hong Kong Public Offering recorded 167,039 valid applications with an overall subscription rate of 6,876.17 times, resulting in 2,430,000 H Shares allocated under the Hong Kong Public Offering. For the International Offering portion, 21,870,000 H Shares were allocated initially, with an oversubscription of 2.01 times and 1,491,500 H Shares over-allocated. After deducting listing expenses, the reported net proceeds amount to approximately HK$124.30 million.
Upon listing, JINYAN KAOLIN will have a total of 97,194,316 shares in issue, of which 25.00% constitute the public float. The largest placee will hold less than 10% of the total share capital post-listing, and there will be no new substantial shareholder. Controlling shareholders are subject to lock-up undertakings until December 2, 2026, while cornerstone investors, who together subscribed for 10,441,000 H Shares, are restricted from disposing of their allocated shares until June 2, 2026.
Lock-up undertakings also apply to certain existing shareholders to comply with regulatory requirements. In total, four cornerstone investors acquired 42.97% of the Offer Shares. Immediately following the completion of the Global Offering, 24,300,000 H Shares—equivalent to 25.00% of the Company’s total issued share capital—will be in public hands.
Dealings in JINYAN KAOLIN’s H Shares (stock code 2693) are expected to begin at 9:00 a.m. on December 3, 2025, on the Stock Exchange of Hong Kong.
