Zhengwei Group (2147) Announces AGM Rescheduling and Revised Share Consolidation Timetable

Zhengwei Group Holdings Company Limited (Stock Code: 2147) has announced a revised schedule for its forthcoming annual general meeting (AGM), along with changes to the record date, book closure period, and the timetable for share consolidation.

The AGM, initially set for 2 December 2025, will instead take place on 22 December 2025 at 3:30 p.m. The meeting venue has been changed to 21st Floor, Jiangnai Building, Jiangxi Sima Temple Building Materials Market, No. 539 Fuhe South Road, Xujiafang Street, Qingyunpu District, Nanchang City, Jiangxi Province, PRC.

The record date for determining eligibility to attend and vote at the rescheduled AGM has been moved to 22 December 2025. In line with this adjustment, the Company will close its register of members from 17 December 2025 to 22 December 2025 (both days inclusive). Share transfer documents for registration must be lodged by 16 December 2025.

According to the revised timetable for the share consolidation, 29 December 2025 is the planned effective date. Dealing in the consolidated shares is set to begin the same day with parallel trading arrangements, in which the original counter reopens on 13 January 2026 and the temporary counter closes on 2 February 2026. Free exchange of existing share certificates into new certificates is scheduled to end on 4 February 2026.

All other details presented in the Company’s original circular and accompanying documentation remain unchanged. The resolutions to be considered at the meeting are unaffected by these date and venue modifications, and previously submitted proxy forms will remain valid for the rescheduled AGM.
