BIREN TECH Announces INED Transition: Dr. Yuan Wang to Step Down, Dr. Zhiyi Yu Nominated as Successor

Shanghai Biren Technology Co., Ltd. (BIREN TECH) reported that independent non-executive director (INED) Dr. Yuan Wang has tendered his resignation, citing work arrangements. He will continue to serve as INED, chairman of the Nomination Committee, and member of both the Audit and Remuneration Committees until a new INED is elected at the forthcoming annual general meeting (AGM). The Board confirmed that Dr. Wang holds no disagreements with management and has no matters requiring shareholder attention.

Concurrently, the Board has nominated Dr. Zhiyi Yu as an INED and member of the three Board committees. Pending shareholder approval at the AGM, Dr. Yu will serve through the remainder of the Board’s second session and will be eligible for re-election. Upon appointment, he will receive an annual fee of RMB0.70 million.

Dr. Yu, aged 49, is Dean of the School of Microelectronics Science and Technology at Sun Yat-sen University. His credentials include a Ph.D. in Electrical and Computer Engineering from the University of California, Davis, 123 invention patent filings (62 granted), authorship of the monograph “Microprocessor Design: Architecture, Circuits, and Implementation,” and leadership roles in national R&D projects and multiple IEEE conferences. The Nomination Committee concluded that Dr. Yu meets all independence requirements under Hong Kong Listing Rules.

The Board expressed gratitude to Dr. Wang for his service and extended a formal welcome to Dr. Yu.
