NIU HOLDINGS (08619) announced that on November 27, 2025, its wholly-owned subsidiary Kelca Limited entered into a sale and purchase agreement with Mr. Li Wenjun, the seller, and Smart Building Management System Limited (the "Target Company"). Under the agreement, the seller conditionally agreed to sell, and the buyer conditionally agreed to acquire, a 60% equity stake in the Target Company for HK$7.5 million. Upon completion, the buyer will hold a 60% stake in the Target Company, which will become an indirect non-wholly-owned subsidiary of NIU HOLDINGS. The financial performance of the Target Company will be consolidated into the group's financial statements.
The Target Company is a Hong Kong-based limited liability company primarily engaged in IT services, specializing in advanced, reliable, and comprehensive building automation solutions. Its core business spans four key areas: Building Management Systems (BMS), Energy Management Systems (EMS), hotel room management, and home automation systems. The company offers end-to-end services, from design and supply to installation and maintenance, ensuring system stability and efficiency while catering to the specific needs of clients across commercial, residential, and hospitality sectors.
The board believes the acquisition strategically positions the group to leverage IT capabilities and expand into the high-growth smart building and automation market.
