ONEROBOTICS (06600) has announced an investment agreement with target company Nanoleaf Limited and its core founder sellers, Mr. GimmyShenChu and Mr. Christian Yan, dated May 15, 2026. Under the agreement, the company will facilitate a buyer to execute a multi-stage acquisition. The transaction involves: (1) purchasing approximately 9.02 million sale shares, representing about 59.9% of Nanoleaf's issued share capital pre-first closing; (2) subscribing for shares worth $8 million, representing about 26.2% of the enlarged share capital post-second closing; (3) acquiring 6 million sale shares from the core founder sellers, representing about 29.4% of the issued share capital post-third closing; and (4) purchasing all employee stock ownership plan (ESOP) shares, representing about 19.7% of the issued share capital post-fourth closing. The total consideration comprises: $22.525 million for the sale shares at $1.50 per share; $8 million for the subscription shares at $1.50 per share; and $10.0116 million for the ESOP shares at $2.00 per share. A portion of the ESOP consideration will be paid to the ESOP sellers, with the remainder paid to Nanoleaf to settle outstanding subscription amounts.

(3) Technology Integration and Talent Acquisition: The group will provide stronger R&D and supply chain management support to Nanoleaf. Concurrently, it will utilize Nanoleaf's overseas platform to establish an international AI R&D center and attract global talent, thereby enhancing the group's global R&D capabilities in areas like spatial intelligence, multimodal perception, and embodied intelligence.
By integrating Nanoleaf's global channel resources, localized operational experience, and spatial intelligence technology capabilities, the group will further refine its full-chain capabilities for in-home embodied intelligence—spanning from technology R&D to global delivery—strengthening global operational resilience and accelerating the construction of its in-home embodied AI ecosystem. Following the group's earlier strategic investment in Huiling Technology, this transaction represents another significant step in the group's ongoing strategy to build a global embodied AI industrial ecosystem through strategic mergers and acquisitions.
