3SBio Issues Additional 0.16 Million Shares After Option Exercise; Total Outstanding Reaches 2.53 Billion

3SBio Inc. released its Monthly Return for July 2026, outlining minor adjustments to its share capital structure following the exercise of employee share options.

• Authorised Share Capital – Unchanged The company’s authorised share capital remained at 50.00 billion ordinary shares with a par value of USD 0.00001 each, equivalent to total authorised capital of USD 500,000.

• Issued Shares – 0.16 Million Increase Issued share capital (excluding treasury shares) rose by 155,000 shares (approximately 0.16 million), taking the total outstanding to 2.53 billion shares at end-July, up from 2.53 billion a month earlier. The additional shares were created through the exercise of options granted under the 23 May 2015 share option scheme (amended 28 June 2016) at an exercise price of HKD 7.62 per share. The exercise generated HKD 1.18 million in gross proceeds.

• Treasury Shares – No Change Treasury share holdings were stable at 8.52 million, leaving total issued shares (including treasury stock) at 2.54 billion.

• Public Float – In Compliance 3SBio confirmed that it satisfied the Main Board’s minimum public float requirement of 25 % of issued shares as of 31 July 2026.

The filing, submitted on 4 August 2026, indicates that apart from the modest option-driven issuance, no repurchases, warrant exercises, convertible conversions, or other share movements occurred during the month.
