Ming Yuan Cloud to Seek Approval for HK$0.10 Special Dividend and Board Mandates at 20 May 2026 AGM

Ming Yuan Cloud Group Holdings Limited will convene its Annual General Meeting (AGM) on 20 May 2026 at 10:00 a.m. in Shenzhen. Key matters up for shareholder approval are as follows:

1. Financial Statements • Adoption of the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.

2. Cash Distribution • Declaration and payment of a special dividend of HK$0.10 (approximately RMB0.088) per share from the share premium account, subject to conditions outlined in the 24 April 2026 circular. • Shareholders on the register at close of business on 27 May 2026 will be entitled to the payout. The register will be closed from 27 May 2026 to 1 June 2026 for this purpose.

3. Board Composition and Remuneration • Re-election of Executive Directors Jiang Haiyang and Chen Xiaohui, and Independent Non-executive Director Zhao Liang. • Authorisation for the Board to set Directors’ remuneration.

4. Auditor Appointment • Re-appointment of Ernst & Young as external auditor for the year ending 31 December 2026, with the Board authorised to determine its remuneration.

5. Share Issuance and Buy-back Mandates • General mandate permitting the Board to issue up to 20 % of the company’s issued shares (excluding treasury shares) during the mandate period. • General mandate to repurchase up to 10 % of issued shares (excluding treasury shares). • An extension mandate to increase the share-issuance limit by the number of shares repurchased under the buy-back mandate.

Key Timetable • Register closure for AGM voting eligibility: 15–20 May 2026; record date 15 May 2026. • Register closure for special dividend: 27 May–1 June 2026; record date 27 May 2026. • Proxy forms must be lodged with Computershare Hong Kong Investor Services by 4:30 p.m. on 18 May 2026.

The Board currently comprises three executive directors (Gao Yu, Jiang Haiyang, Chen Xiaohui), one non-executive director (Liang Guozhi), and three independent non-executive directors (Li Hanhui, Zhao Liang, Wen Hongmei).
