CGN Mining Sets 18 June 2026 AGM; Proposes HK 1.4 Cents Final Dividend and Hong Kong Re-Domiciliation

CGN Mining Company Limited has issued a notice convening its 2026 annual general meeting (AGM) for 18 June 2026 at 10:00 a.m. in Beijing, with an electronic participation venue in Hong Kong. The meeting will seek shareholder approval on routine matters and a series of strategic resolutions.

Key AGM Agenda • Financial Statements: Shareholders will vote on the adoption of the audited consolidated financial statements and the reports of the directors and auditors for the year ended 31 December 2025. • Dividend Proposal: The Board recommends a final cash dividend of HK 1.40 cents per share for FY 2025. If approved, the dividend is scheduled for payment on or before 30 July 2026 to shareholders on the register as of 30 June 2026. The register will be closed from 25 June to 30 June 2026 (both dates inclusive) for dividend entitlement. • Board Composition: Re-election of executive directors Mr Qiu Bin and Mr Li Jie, and independent non-executive directors Mr Zhang Yuntao and Mr Wu Yingpeng. • Director and Auditor Remuneration: Authorisation for the Board to set directors’ fees and to re-appoint BDO Limited as auditors, with the Board empowered to determine their remuneration.

Capital Management Mandates • Issuance Mandate: Directors may issue new shares or equity-linked securities up to 20% of the existing share capital, excluding treasury shares, during the authorised period. • Share Repurchase Mandate: The Company may repurchase up to 10% of its issued share capital, excluding treasury shares, on the Hong Kong Stock Exchange or other recognised exchanges. • Mandate Extension: The share issuance limit can be increased by the amount of shares repurchased under the above authority.

Corporate Governance Enhancements • Articles Update: Shareholders will consider the adoption of amended and restated articles of association incorporating prior and proposed changes. • Re-Domiciliation Plan: Conditional on regulatory approvals, the Company proposes to shift its domicile from the Cayman Islands to Hong Kong, adopt the Chinese name “中廣核礦業有限公司” and implement a new set of Hong Kong articles of association.

Logistics and Key Dates • AGM attendance record date: 12 June 2026; register closed 15–18 June 2026. • Final dividend record date: 24 June 2026; register closed 25–30 June 2026. • Payment date for approved dividend: on or before 30 July 2026.

Board Composition Snapshot As of the notice date (26 May 2026), the Board comprises Chairman and non-executive director Mr Wang Xianfeng; executive directors Mr Qiu Bin (CEO) and Mr Li Jie; and independent non-executive directors Mr Gao Pei Ji, Mr Zhang Yuntao, and Mr Wu Yingpeng.
