JNCEC to Hold AGM on 25 June 2026, Seeking Shareholder Votes on FY2025 Results, Dividend Plan and New Audit Mandates

Beijing Jingneng Clean Energy Co., Limited (JNCEC) has issued its proxy form for the Annual General Meeting scheduled at 10:00 a.m. on 25 June 2026 in Beijing. Shareholders will vote on a series of ordinary and special resolutions that cover FY2025 performance review, profit distribution, auditor appointments and new financing mandates.

Key ordinary resolutions:

• FY2025 Performance Review: Shareholders will consider the board’s work report, the IFRS-based audited financial statements and the full annual report for the year ended 31 December 2025.

• Dividend Proposal: The meeting will vote on a profit-distribution plan that includes a final dividend together with a one-off special cash dividend for FY2025. Specific payout figures were not disclosed in the proxy form.

• Auditor Arrangements: – Re-appointment of KPMG as international auditor for 2026 with an audit fee of RMB 3.18 million (USD 0.44 million). – Replacement of the current domestic auditor with Grant Thornton Certified Public Accountants (Special General Partnership) for 2026, at an audit fee of RMB 2.52 million (USD 0.35 million).

Special resolutions:

• General Mandate to Issue Shares: The board seeks authority to issue additional shares within regulatory limits.

• H-Share Repurchase Mandate: Approval is sought for the board to repurchase the company’s H shares in the open market.

• Debt-Financing Instruments: The board requests a mandate to determine and execute issuances of debt financing instruments as needed.

Shareholders may appoint one or more proxies to attend and vote. Proxy forms must be submitted to Computershare Hong Kong Investor Services Limited by 10:00 a.m. on 24 June 2026 (Hong Kong time). The meeting location is Meeting Room 802, 8th Floor, No. 6 Xibahe Road, Chaoyang District, Beijing.
