HK&S HOTELS (00045) has announced a series of board changes set to take effect following the conclusion of the company's Annual General Meeting scheduled for May 13, 2026.
As previously announced on March 18, 2026, Mr. Peter Bollen and Dr. William Fung will retire upon the conclusion of the 2026 AGM. Ms. Kalpana Desai and Mr. Philippe Pierre Rainham Ward will be appointed as Independent Non-executive Directors of the company, succeeding Mr. Bollen and Dr. Fung, respectively.
Sir David Li has decided to retire as an Independent Non-executive Director and will assume the role of Senior Advisor to the Chairman upon his retirement.
Mr. Lee Man Kiu will be appointed as an Independent Non-executive Director of the company.
Concurrently, the following changes to board committee memberships will also take effect after the 2026 AGM: Ms. Kalpana Desai and Mr. Philippe Pierre Rainham Ward will each be appointed as members of the Finance and Investment Committee. Mr. Keith James Robertson will cease to be a member of the Finance Committee following his resignation as an Executive Director of the company.
Mr. Luk Sze Kit, a Non-executive Director of the company, will be appointed as Chairman of the Sustainability Committee. Dr. Wansiriyakul, an Independent Non-executive Director, and Ms. Liu Yee Ching, the company's Corporate and Governance President, will be appointed as members of the Sustainability Committee.
Mr. Lee Man Kiu and Mr. Kung Siu Long will each be appointed as members of the Audit Committee. Mr. Kung Siu Long will also be appointed as a member of the Remuneration Committee, succeeding Mr. Anthony Nightingale, a Non-executive Director of the company.
Ms. Tse Koon Hang, an Independent Non-executive Director, will be appointed as a member of the Nomination Committee, succeeding Dr. William Fung.
