Conch Venture: Anhui Conch Holdings Raises Stake to Nearly 21% and Signals Board Reconstitution Amid Market Volatility

China Conch Venture Holdings Limited (Conch Venture) disclosed that its single largest shareholder, Anhui Conch Holdings Co. Ltd. (Conch Holdings), has continued to purchase shares on the open market since 25 February 2026. As of 21 July 2026, Conch Holdings—through direct holdings and those of its listed subsidiary Anhui Conch Cement Company Limited and the latter’s subsidiaries—now controls almost 21% of Conch Venture’s issued share capital.

The enlarged position forms part of Conch Holdings’ long-term strategic investment plan. Upon completion of the share build-up, Conch Holdings intends to reconstitute Conch Venture’s board and consolidate the company’s financial statements into its own group accounts. Conch Holdings has affirmed that Conch Venture will continue to operate as an independent legal entity, pledging to protect minority shareholder interests and maintain a stable, sustainable dividend policy in line with state-owned enterprise guidelines. Management also indicated plans to enhance synergies across industrial resources, supply chains and platforms to support Conch Venture’s growth.

Separately, Conch Venture’s board acknowledged recent sharp movements in the company’s share price and trading volume but stated, after reasonable enquiry, that it is unaware of any undisclosed matters driving such fluctuations. The board confirmed that the Group’s operations and financial position remain stable and unchanged.
