Yancoal Australia Ltd (Yancoal, ASX: YAL) has unveiled a series of resolutions for approval at an upcoming extraordinary general meeting (EGM) scheduled before year-end 2026. The company is requesting independent shareholder consent for three key matters:
1. Renewal of Connected Coal-Sales Frameworks (2027-2029) • Yankuang Energy Framework Agreement: Yancoal proposes to extend coal sales to controlling shareholder Yankuang Energy Group and its subsidiaries through 31 December 2029, with annual caps set at US$300.00 million for each of the years 2027-2029. • YIT Framework Agreement: Sales to Yancoal International Trading (YIT) and its associates would also run to 31 December 2029, carrying annual caps of US$900.00 million per year. • Supporting Contracts: Yancoal plans to ink three term Coal Sales Agreements covering a combined 6 million tonnes per annum—2 million tonnes each with YIT, Hong Kong-based YLHK and mainland-based HII—and a memorandum of understanding with SETI for up to 2 million tonnes of spot sales annually. Pricing will reference the API5 index, coal quality differentials and comparable Chinese offtake contracts, with the working assumption of US$150/mt for API5 standard coal when setting caps. • Regulatory Oversight: Given Yankuang Energy’s 62.26 % stake in Yancoal and YIT’s affiliation with Shandong Energy, the transactions constitute continuing connected transactions under Hong Kong Listing Rule 14A and related-party dealings under ASX Listing Rule 10.1. Independent shareholders must approve the arrangements, and Lonergan Edwards will issue an independent expert report on fairness and reasonableness. Ignite Capital has been engaged as independent financial adviser.
2. Financial Assistance for the A$1.50 billion / US$1.40 billion Acquisition Facilities Following completion (1 October 2026) of the US$1.85 billion purchase of Kestrel Coal Group Pty Ltd, each Target Group entity is required to guarantee and secure Yancoal’s acquisition financing facilities (A$1.50 billion and US$1.40 billion). Under Australia’s Corporations Act 2001 (Part 2J.3), this Financial Assistance needs shareholder approval by special resolution.
3. Board Appointment Non-executive Director Ms Ping Nie, appointed on 19 August 2026, will stand for election. Ms Nie, 49, is an executive of China Cinda Asset Management and offers extensive M&A and restructuring experience. She will serve without director’s fees.
Governance & Next Steps • An Independent Board Committee comprising all independent non-executive directors will review the coal-sales frameworks and related agreements. • The shareholder circular, including the independent expert’s and financial adviser’s analyses, is slated for dispatch on or about 2 November 2026. • Yankuang Energy (62.26 % shareholding) will abstain from voting on the connected-transaction resolutions. • The record date for voting eligibility is 4 December 2026 (7:00 p.m. AEDT / 5:00 p.m. HKT).
Management asserts the proposed transactions will secure stable, market-priced offtake of up to 6 million tonnes annually while preserving pricing discipline, support production planning, and facilitate integration of the newly acquired Kestrel metallurgical coal mine.
