Shanghai Industrial: AGM Clears All Resolutions, Confirms HKD0.70 Dividend and Share Mandates

Shanghai Industrial Holdings Limited held its Annual General Meeting on 21 May 2026, with all seven ordinary resolutions securing the requisite majority.

Dividend Distribution Shareholders endorsed a final dividend of HKD0.50 per share and a special dividend of HKD0.20 per share for the financial year ended 31 December 2025. The combined HKD0.70 payout was backed by 705.49 million votes in favour, representing 99.99% of votes cast.

Financial Statements The audited consolidated results for FY2025, together with the directors’ and auditor’s reports, were adopted with 705.38 million votes (99.98%) supporting the motion.

Board Composition and Remuneration • Re-elections:  – Ms. Leng Wei Qing – 99.91% approval (704.84 million votes)  – Mr. Yao Jia Yong – 99.77% approval (703.88 million votes)  – Mr. Leung Pak To, Francis – 97.74% approval (689.56 million votes) • Director remuneration authority passed with 99.93% support (704.99 million votes).

Auditor Re-appointment Ernst & Young was re-appointed as external auditor, receiving 705.49 million votes (99.99% approval). The board is authorised to set its remuneration.

Capital Management Mandates • Share repurchase mandate of up to 10% of issued share capital: 99.99% approval (705.48 million votes). • General issuance mandate of up to 20%: 95.17% approval (671.38 million votes). • Extension of issuance mandate by the number of shares repurchased: 95.17% approval (671.41 million votes).

Share Capital and Voting The company had 1.09 billion shares outstanding, all eligible to vote. No shares were subject to mandatory abstention, and Tricor Investor Services Limited acted as scrutineer.

Attendance Directors attending in person or electronically included Mr. Zhang Qian, Mr. Xu You Li, Mr. Leung Pak To, Francis, Mr. Yuen Tin Fan, Francis, Prof. Zhang Qian and Mr. Tang, William Harry Jiasheng.
