Jinan Jianbang Materials Targets Hong Kong IPO, CSRC Seeks Clarification on Red-Chip Restructuring

A recent filing with the China Securities Regulatory Commission (CSRC) has revealed that Jinan Jianbang Metal Materials is among five companies asked to provide supplementary materials regarding their overseas listing plans.

According to the CSRC's international department, the request issued on August 28 pertains to filings made between August 24 and August 28, 2026. The regulator specifically asked Jianbang Metal Materials to provide further details on the specific steps involved in dismantling its red-chip structure.

The company, officially known as Jinan Jianbang Metal Materials Co., Ltd., submitted its listing application to the Hong Kong Stock Exchange on July 14, with CITIC Securities International acting as its sole sponsor.

The CSRC has requested that Jianbang Metal Materials clarify the following matters, with legal counsel required to verify and issue clear legal opinions.

First, the company must explain the specific procedures, relevant agreements, and compliance of the red-chip structure dismantling process. It must also detail how Cayman Jianbang and its overseas subsidiaries at various levels will be handled after restructuring, in addition to the offshore holding platforms established by domestic shareholders including Chen Zichun, Weilan Bay, and Xinchen Huizhi. Furthermore, the tax treatment across several transaction steps must be disclosed, including the buyback of shares from four overseas investors by Cayman Jianbang, the transfer of issuer shares from Hong Kong Jianbang to those same investors, and the associated assignment of creditor's rights back to Cayman Jianbang.

Second, the CSRC is asking for the reasons behind the change in controlling shareholder and actual controller within the three years prior to the initial overseas listing application. It also seeks to confirm whether former controlling shareholder Jianbang Technology and former actual controller Chen Jian fall under any of the circumstances stipulated in Article 8 of the Trial Measures for the Administration of Overseas Issuance and Listing of Securities by Domestic Enterprises.

Third, the company must strictly verify historical shareholding-by-entrustment arrangements in accordance with the Regulatory Rules Applicable Guidance - Overseas Issuance and Listing Category No. 2, and provide a conclusive legal opinion on the legality and compliance of its establishment and all historical equity changes.

Fourth, basic information on the company's directors and senior management must be presented in line with the same regulatory guidance.

Fifth, clarification is needed on whether the proposed use of part of the raised funds for building factories or research and development bases in the Middle East and other regions involves specific overseas investment projects, and whether the relevant approval, verification, or filing procedures have been completed. If these procedures are not fully satisfied, a special commitment must be made to repatriate all raised funds to China.

Sixth, a clear conclusion must be provided on whether the equity incentive plan involves any benefit transfer.

Seventh, the company must confirm whether its business scope and actual operations involve sectors restricted or prohibited for foreign investment under the Special Management Measures for Foreign Investment Access (Negative List) 2024 Edition. It must also state whether the company and its subsidiaries plan to engage in such restricted sectors in the future, and whether the company will continue to comply with foreign investment access requirements after the offering and full circulation of shares.

According to its prospectus, Jinan Jianbang Metal Materials Co., Ltd. is a well-known silver powder supplier in China with over a decade of operational experience, integrating research, development, production, and sales capabilities.
