INNOCARE Calls 16 June AGM to Vote on 2026 Share Incentive Scheme, RSU Grants and Governance Amendments

INNOCARE will hold its annual general meeting on 16 June 2026 in Beijing. Shareholders will review the 2025 Annual Report, which recorded operating revenue of RMB 2.37 billion and the first full-year profit in the company’s history. No final dividend is proposed for 2025.

Key resolutions include:

• Equity authorisations – Directors seek refreshed mandates to issue up to 20% of issued shares and to repurchase up to 10% of both Hong Kong and RMB shares.

• Share incentives –  • Adoption of a 2026 STAR-Market Restricted Share Incentive Scheme for up to 10 million new RMB shares (≈0.57 % of share capital).  • First grant will cover 8 million shares, with the remainder reserved for a subsequent tranche.  • Grant of 10.78 million RSUs to Chief Executive Officer Dr Jisong Cui and 2.15 million RSUs to Executive Director Dr Renbin Zhao under the 2023 Share Award Scheme.

• Use of proceeds – The company proposes to reallocate funds raised from its 2022 STAR-Market listing, shifting budget among R&D projects, platform upgrades and IT systems while keeping the total investment from raised funds unchanged at RMB 2.78 billion.

• Governance –  • Re-election of three directors and re-appointment of Ernst & Young as auditor.  • Purchase of liabilities insurance for directors and senior management with coverage up to US$20 million.  • Adoption of a revised Memorandum and Articles of Association, new rules of procedure for shareholder and board meetings, and a remuneration management policy for directors and senior management.

All items require shareholder approval; the share register will close from 11 to 16 June 2026 for AGM eligibility.
