APT Electronics Co., Ltd. announced that its wholly owned unit, Guangzhou Lynway, signed a RMB 276.01 million engineering-procurement-construction (EPC) contract with S.Y. Technology, Engineering & Construction (SYC) on 5 March 2025. The mandate covers full-scope design, procurement and construction of Guangzhou Lynway’s new production, R&D and dormitory facilities at the company’s Greater Bay Area headquarters project.
The contract value was set through competitive tender based on material costs, construction proposals, quality standards and the contractor’s track record. Funding will be sourced entirely from APT Electronics’ internal resources.
Payment is milestone-based: an initial 10% advance (excluding photovoltaic fees) is followed by seven staged progress payments tied to foundation, structural, roofing, equipment and M&E benchmarks. A 5% payment is retained until final account settlement, with a further 5% held as warranty deposit payable after the quality-warranty period.
APT Electronics views the project as critical to boosting production capacity and R&D capabilities for its intelligent automotive vision segment. The board deems the contract terms fair and beneficial to shareholders.
Under Hong Kong Listing Rules, the deal’s size—exceeding the 5% but below the 25% threshold—classifies it as a discloseable transaction, triggering immediate reporting and announcement requirements. The company acknowledged a delay in disclosure and outlined enhanced internal controls, including comprehensive transaction reviews, strengthened staff training and ongoing consultation with professional advisers to ensure future compliance.
