Xiao Noodles repurchases 18.42 million H-shares for cancellation; 1.10 million bought under new mandate

Guangzhou Xiao Noodles Catering Management Co., Ltd. (Xiao Noodles) disclosed on 3 July 2026 that it has accumulated 18.42 million H-shares for cancellation between 3 February and 3 July 2026. The repurchased stock equals approximately 2.59% of the company’s 710.69 million issued H-shares outstanding before the buy-backs.

The purchases were executed on the Hong Kong Stock Exchange at prices ranging from HKD 3.06 to HKD 5.96 per share. Aggregate cash outflow was not disclosed, but the single-largest daily tranche occurred on 15 June 2026, when 1.27 million shares were bought at an average HKD 3.67 each.

On the latest trading day covered by the filing (3 July 2026), Xiao Noodles acquired 160,500 shares on-market at prices between HKD 3.00 and HKD 3.27, spending HKD 0.49 million. All shares repurchased to date are earmarked for cancellation; none will be held as treasury stock.

A fresh share-repurchase mandate approved on 25 June 2026 authorises the company to buy back up to 71.07 million shares. As of 3 July 2026, 1.10 million shares, or 0.15% of the share base at mandate date, have been repurchased under this authority.

Despite the buy-backs, Xiao Noodles’ issued share capital remains at 710.69 million shares because the repurchased shares had not yet been cancelled by the reporting date. Under Hong Kong listing rules, the company is subject to a moratorium on issuing new shares or disposing of treasury shares until 2 August 2026.
