Bulletin Express10-26 20:02

Horizon Robotics announced that on 26 October 2026 the Board granted 37.76 million share awards, representing the same number of underlying new Class B Ordinary Shares, to 219 employees under the company’s Post-IPO Share Incentive Plan.

The awards carry a nil purchase price, with each grantee paying HK$1.00 upon acceptance. The Class B share closed at HK$3.83 on the grant date.

Vesting spans roughly 44–58 months and may occur in several tranches; the first tranche may vest within 12 months of the grant date. The awards are not subject to performance targets.

Comprehensive claw-back provisions apply in cases such as termination for cause, legal or regulatory breaches, misconduct, material misstatements, or fraud. No financial assistance will be provided by the company or its subsidiaries for share purchases.

After this grant, 336.44 million Class B Shares remain available under the overall scheme mandate, while 128.80 million shares remain under the service-provider sub-limit.

None of the grantees is a director, chief executive, substantial shareholder, related-entity participant, or service provider exceeding the individual limits prescribed by the HKEX Listing Rules, and shareholder approval is not required for the grant.

The company cited alignment of employee and shareholder interests and recognition of staff contributions as the primary objectives of the awards.
