BeiGene (06160.HK) Launches New Six-Month ESPP Offering; 4,989 Employees Enrolled

Hong Kong – March 10, 2026 – BeiGene (Stock Code: 06160) announced the commencement of a new six-month offering under its Fifth Amended and Restated 2018 Employee Share Purchase Plan (ESPP). The enrollment window closed on February 28, bringing in 4,989 eligible participants from the company and its designated subsidiaries.

The current offering period runs from March 2 to August 31, 2026. Participating employees will acquire ordinary shares (or ADSs, each representing 13 shares) at a 15% discount to the lower of (i) the Nasdaq closing price on March 2 or (ii) the closing price on August 31. On the first day of the offering, BeiGene’s ADSs closed at US$314.36, equivalent to approximately HK$189.10 per share.

Participants may direct payroll deductions of 1%–10% of eligible earnings, up to an annual cap of US$25,000, to fund purchases executed at the end of the period. Employees holding 5% or more of BeiGene’s voting power are excluded from participation, and individuals may withdraw at any time before shares are purchased.

As of March 2, 2026, 3.18 million shares remained available for issuance under the ESPP, before accounting for purchases from the immediately preceding and current offering periods. No performance conditions or clawback provisions apply, and the company will not extend loans or other financial assistance in connection with share purchases.

The ESPP is overseen by BeiGene’s Board compensation committee, which maintains that the plan enhances employee retention and aligns workforce interests with those of shareholders.
