GCL New Energy Holdings Limited plans to change its English corporate name to “Dynasty Digital Holdings Limited” and adopt “時代數字控股有限公司” as its secondary Chinese name.
The change is conditional on two approvals: 1) Passage of a special resolution at the forthcoming annual general meeting (AGM). 2) Clearance from the Registrar of Companies in Bermuda.
Once these conditions are met, the new name will take effect on the date it is entered in Bermuda’s companies register. Existing share certificates will remain valid, and free exchange will not be offered. New certificates issued thereafter will bear the new name. Subject to confirmation by The Stock Exchange of Hong Kong Limited, the Company’s English and Chinese stock short names will also be updated.
Management states that the rebranding reflects the Group’s increasing focus on integrating large AI models and Web3.0 technologies with the new-energy sector, aiming to enhance its global profile and support future business development. The change will not affect daily operations or the Group’s financial position.
A circular detailing the proposal, AGM notice and proxy form will be dispatched to shareholders in accordance with Hong Kong listing rules. Further announcements will disclose the AGM results, effective date of the new name, updated stock short names, new logo and website address.
