LDROBOT Sets 10 Nov 2026 Online ESM to Approve New H-Share Option and Award Schemes

Bulletin Express10-23 23:01

Shenzhen LDROBOT Co., Ltd (LDROBOT) will convene an extraordinary shareholders’ meeting (ESM) at 2:00 p.m. on 10 November 2026 via electronic means to seek investor approval for a package of equity incentive initiatives and related authorisations.

The agenda centres on five special resolutions: 1) formal adoption of an H-Share Option Scheme; 2) adoption of an H-Share Award Scheme; 3) delegation of authority to the board or its designate to administer the Option Scheme; 4) delegation of authority to the board or its designate to administer the Award Scheme; and 5) consolidated approval for both schemes, including future share listings and associated board authorities.

Under the proposed mandate, the aggregate number of H shares issuable upon exercise or vesting of all options and awards—across the two new schemes and any other share scheme the company may subsequently adopt—will be capped at 10% of LDROBOT’s issued share capital (excluding treasury shares) on the resolution date. Within this limit, grants to service providers will be further restricted to 1% of issued shares.

Shareholders registered by the close of business on 4 November 2026 will be eligible to vote. The register of members will be closed from 5 November through 10 November 2026, inclusive. Participation, voting and Q&A will be conducted online via the Vistra eVoting Portal, with login credentials distributed by Tricor Investor Services.

LDROBOT’s current board comprises Executive Directors Zhou Wei (Chairman), Guo Gaihua and Zhang Jun; Non-Executive Director Dr. Huang Xi; and Independent Non-Executive Directors Cheng Hao, Dr. Yan Hongyu and Hong Kam Le.
