JD Industrials (Hong Kong: 07618) reported a net increase of 1.50 million ordinary shares in June 2026, lifting total shares in issue (ex-treasury) to 2.72 billion. The expansion stemmed mainly from the exercise of 1.35 million options under the Pre-IPO ESOP and the issuance of 0.15 million shares through the Post-IPO First Share Scheme. Cash proceeds from option exercises amounted to USD 3.29.
Option activity reduced outstanding Pre-IPO ESOP options to 31.67 million, down 6.90 million month-on-month after exercises and lapses. Shares that could still be issued from existing equity incentives total 22.26 million—16.37 million under the Pre-IPO ESOP and 5.88 million under the Post-IPO First Share Scheme.
Separately, the company repurchased 3.13 million shares during June. These shares remain uncancelled as of 30 June 2026 and, once cancelled, will offset part of the month’s issuance.
Authorised share capital was unchanged at 100 billion ordinary shares with an aggregate par value of USD 50,000. JD Industrials confirmed compliance with the minimum public-float requirement of 11.87 percent at month-end.
