Bulletin Express10-21

XD Inc. announced that on 21 October 2026 it granted 124,420 share options under its 25 June 2021 Share Option Plan. Each option entitles the holder to subscribe for one ordinary share at an exercise price of HK$40.94.

The exercise price matches the five-day average closing price (HK$40.94) and represents a 5.30% premium to the same-day closing price of HK$38.88. All options vest immediately and carry a ten-year validity period from the grant date.

Chairman, Chief Executive Officer and substantial shareholder Mr. Huang Yimeng received 71,322 options, or 57.30% of the total grant. The award to Mr. Huang was reviewed and approved by the company’s independent non-executive directors in accordance with Listing Rule 17.04(1).

The remaining 53,098 options were allocated to other directors and full-time employees. According to the board and the Remuneration and Appraisal Committee, the immediate vesting aligns with industry practice and forms part of the recipients’ overall remuneration packages.

No performance targets are attached to the options. Clawback provisions stipulate automatic lapse if a grantee ceases to qualify as an eligible participant or breaches transfer or confidentiality obligations.

Following this transaction, 28.76 million shares remain available for future grants under the Share Option Plan.
