China Southern Airlines Receives CSAH Green Light for Private Placement of up to 5.44 Billion A-Shares, Targeting RMB 15.00 Billion

China Southern Airlines Company Limited announced that controlling shareholder China Southern Air Holding Company Limited (CSAH) has issued formal approval for the carrier’s proposed non-public issuance of A-shares to specific investors.

The approval (Nan Hang Ji Tuan Fa [2026] No. 14) authorises the placement of no more than 5.44 billion new A-shares, capped at total gross proceeds of RMB 15.00 billion.

The fundraising plan was first endorsed at the fifteenth meeting of the company’s tenth-session board on 29 April 2026. Implementation remains conditional upon: 1. Shareholder authorisation at an upcoming general meeting. 2. Listing approval from the Shanghai Stock Exchange. 3. Registration clearance by the China Securities Regulatory Commission.

China Southern Airlines stated it will continue to disclose progress in accordance with regulatory requirements and reminded investors to monitor related announcements for further updates.
