Skyfame Realty Submits Resumption Plan, Secures HK$23.00 Million Funding but Faces HK$10.47 Million Winding-Up Petition

Skyfame Realty (Holdings) Limited (in liquidation) has filed a comprehensive resumption proposal with the Hong Kong Stock Exchange after more than a year of suspension. The plan seeks an extension of the remedial period to 31 December 2026 to satisfy five resumption requirements, including setting aside a Hong Kong court winding-up order, publishing all outstanding financial results, and re-establishing full compliance with corporate governance and disclosure rules.

Key actions and milestones

1. Scheme of Arrangement: On 18 September 2026, the Hong Kong Court granted leave for Skyfame to convene a creditors’ meeting to vote on a restructuring scheme. The meeting is slated for late October or early November, with a sanction hearing scheduled for 20 November 2026.

2. New funding line: On 9 July 2026, the company, joint and several provisional liquidators (JPLs), and an unnamed investor signed a funding agreement providing a HK$23.00 million credit facility to execute the revised restructuring plan.

3. Financial reporting catch-up: Skyfame has released all outstanding results—FY 2024, 1H 2025, FY 2025, and 1H 2026—between 14 and 21 September 2026, fulfilling one of the Stock Exchange’s key resumption conditions.

4. Resumption guidance: To resume trading, Skyfame must (i) have its winding-up order dismissed and liquidators discharged, (ii) publish timely audited results without qualifications, (iii) demonstrate compliance with Listing Rule 13.24 (sufficient operations or assets), (iv) disclose all material information, and (v) rebuild board and committee structures in line with Listing Rules 3.10 and related provisions.

Winding-up petition

On 30 September 2026, creditor Li Baihao filed a petition in the Hong Kong High Court demanding HK$10.47 million, citing an unpaid judgment debt of HK$10.00 million plus interest and costs. The hearing is scheduled for 9 December 2026. Under Section 182 of the Companies (Winding Up and Miscellaneous Provisions) Ordinance, any share transfers after the petition date could be void without a court validation order, potentially restricting CCASS settlement services. Skyfame is seeking legal advice on dismissing the petition and, if necessary, applying for a validation order.

Trading status

Shares (stock code 00059) and outstanding bonds (codes 5311, 5379, 5567, 5602, 5855) remain suspended; equity trading was halted on 1 April 2025 and debt trading on 28 June 2022. Suspension will continue until the Stock Exchange is satisfied that all resumption conditions are met.

Outlook

Management, together with the JPLs and the new investor, continues to pursue the restructuring roadmap. Further updates will be provided as the scheme meeting approaches and the Stock Exchange reviews the resumption proposal.
