Longcheer Technology Announces Company Secretary Transition and Secures Extended HKEX Compliance Waiver

Shanghai Longcheer Technology Co., Ltd. (“Longcheer Technology”) disclosed a forthcoming leadership transition in its corporate secretarial function, effective 2 April 2026. Mr. Chow Shing Lung will step down as Joint Company Secretary, Authorised Representative under Hong Kong Listing Rule 3.05 and Process Agent under Hong Kong’s Companies Ordinance on the same date. Mr. Chow confirmed he has no disagreements with the Board and is unaware of any matters that require shareholder attention.

Concurrent with the resignation, Longcheer Technology has appointed Ms. Kwok Yan Ting Jennis as Joint Company Secretary, Authorised Representative and Process Agent, also effective 2 April 2026. She will serve alongside Mr. Zhou Liangliang, who continues in his existing role as Joint Company Secretary.

Professional Profiles • Ms. Kwok brings more than 12 years of experience in corporate governance, company secretarial practice and regulatory compliance. She is currently Senior Manager, Entity Solutions at Computershare Hong Kong Investor Services. Ms. Kwok holds a Bachelor of Business Administration from Hong Kong Shue Yan University, is a fellow of both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK), and carries CESGA®, CEP® and SCR® sustainability credentials. • Mr. Zhou has served as Longcheer Technology’s Board Secretary since October 2019 and Deputy General Manager since January 2020. His 20-year track record includes prior senior roles at Baida Group, Hangzhou Great Star Industrial and CGN Juner New Materials. He holds a bachelor’s degree in finance from Zhejiang University of Finance and Economics and an MBA from Zhejiang University.

HKEX Waiver Update Longcheer Technology had previously secured a three-year waiver (effective 22 January 2026) from strict compliance with Hong Kong Listing Rules 3.28 and 8.17 regarding Mr. Zhou’s eligibility as Joint Company Secretary, conditional upon support from Mr. Chow. Following Mr. Chow’s resignation, the Hong Kong Stock Exchange has granted a new waiver covering the period from 2 April 2026 to 21 January 2029. Key conditions include: 1. Mr. Zhou must be assisted by Ms. Kwok during the remaining waiver period. 2. The waiver may be withdrawn in the event of material Listing Rule breaches.

Before the waiver expires, the company must demonstrate that Mr. Zhou has gained sufficient experience to fulfil the company secretary role independently.

The Board expressed its appreciation to Mr. Chow for his contributions and welcomed Ms. Kwok to her new roles.
